1. acceptance of terms
by accessing or using any services provided by impetus AI ("we," "us," or "our"), you agree to be bound by these terms of service. if you do not agree, please do not use our services.
2. services
impetus AI provides AI consulting, auditing, and implementation services for small and local businesses. the scope of each engagement is defined in a separate written agreement or proposal. we reserve the right to modify or discontinue any service at any time with reasonable notice.
3. client responsibilities
you agree to provide accurate information about your business operations as needed to perform the services. you are responsible for any decisions made based on our recommendations. implementation of AI tools in your business is at your own discretion and risk.
4. payment
payment terms are specified in individual service agreements. initial consultations are free of charge. paid services require payment prior to or upon delivery unless otherwise agreed in writing.
5. intellectual property
upon full payment, any custom tools or workflows built specifically for your business become your property. our methodologies, frameworks, and pre-existing tools remain the intellectual property of impetus AI.
6. confidentiality
we treat all information about your business operations as confidential and will not disclose it to third parties without your consent, except as required by law.
7. limitation of liability
impetus AI is not liable for any indirect, incidental, or consequential damages arising from the use of our services or recommendations. our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim.
8. governing law
these terms are governed by the laws of the state of New Jersey. any disputes shall be resolved in the courts of Mercer County, New Jersey.
